根据与贵公司于2005年6月17日的合同(附件一) 内的约定，

现呈上我们就坐落于德国科伯的Werkzeugmaschinenfabrik

Adolf Waldrich Coburg GmbH & Co.(「目标公司」)及其关联

企业(合称「该集团」)的报告。

本报告是基于北京第一机床厂有意收购目标公司的权益之目

的而编写。

本报告阐述了我们的主要发现和结论。第一部分详细列明了

我们的工作范围和工作方法。

不论是就编写本报告的目的或任何其他目的，我们不对我们的

工作是否充分作出任何声明。收件人应当对我们执行的工作的

充分性负责，同时要对拟议中的交易所作出的一切决定负责。

如果我们获要求执行额外工作，可能会注意到其他应报告予贵

公司的事宜。

我们没有向目标公司的管理层出示本报告，以澄清当中的事
